Why is there no video during the annual meeting(s)?

Solventum has chosen an audio-based format for its annual meeting to make it easy for all shareholders to participate. This approach helps ensure a smooth, reliable experience while allowing shareholders to join from anywhere, vote, and ask questions in real time on a wide range of devices. This is similar to the approach taken by many public companies.


What qualifications does management look for when evaluating possible candidates for the board of directors?

Our Corporate Governance Guidelines and our proxy statement describe in detail the qualifications our Board seeks when evaluating director candidates.

The Board seeks director candidates with a distinguished record of leadership and success in their field and who will make substantial contributions to the Board. Key qualifications and considerations include:

  • Roles and contributions valuable to the business community;
  • Personal qualities of leadership, character, judgment and a reputation of integrity, trust, respect, competence and adherence to the highest ethical standards;
  • Relevant knowledge and diversity of age, gender, ethnicity, background and experience in areas such as business, healthcare, manufacturing, technology, finance and accounting, marketing, international business and government; and
  • Whether the candidate is free of conflicts and has the time required for preparation, participation and attendance at all meetings.

Additionally, the Board identifies a set of specific key skills, backgrounds and expertise that are particularly valuable to the oversight of the Company, and such skills are described in more detail in our proxy statement. Candidates are assessed not only on individual qualifications but also on how they enhance the overall mix of skills, independence and perspectives represented on our board, ensuring effective oversight of strategy, risk, and long-term performance.
